Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of bookskills.co (the “Site”) and all services, digital products, and subscriptions offered by BookSkills (“we,” “us,” or “our”).

BY CREATING AN ACCOUNT, MAKING A PURCHASE, OR USING THE SITE, YOU AGREE TO THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site. By agreeing to these Terms, you represent that you meet this requirement.

We may update these Terms at any time. Continued use of the Site after the effective date of any change constitutes acceptance of the updated Terms. We will post updated Terms with a revised effective date.

2. Description of Services

BookSkills sells digital “skill files” — Markdown-formatted files designed for use with AI assistants such as Claude Code. Each skill file (“Skill”) contains structured prompts, commands, and frameworks derived from business books.

Skills are available for purchase individually ($7.00 per Skill, subject to change) or via an Annual Subscription ($79.99/year, subject to change) that provides access to download all Skills in the BookSkills library during the active subscription period.

Upon successful payment, you will be provided a time-limited signed download URL for the purchased Skill file(s). Delivery of digital content begins immediately upon purchase confirmation.

3. Accounts

3.1 Registration

To purchase or access Skills, you must create an account with a valid email address and password. You agree to provide accurate, complete information and to keep it current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3.3 One Account Per Person

Accounts are for individual use only. Sharing account credentials with others is prohibited and may result in immediate account termination without refund.

3.4 Account Deletion

You may delete your account at any time by contacting [email protected]. Deletion does not entitle you to any refund of amounts paid. Your license to previously downloaded Skill files survives account deletion.

4. Purchases, Pricing, and Payment

4.1 Pricing

All prices are in US dollars and do not include applicable taxes. We reserve the right to change prices at any time. Price changes will not affect purchases already completed or active subscriptions until the next renewal date.

4.2 Payment Processing

All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe’s Terms of Service and authorize Stripe to charge your payment method. We do not store your payment card information.

4.3 Taxes

You are responsible for all applicable sales, use, VAT, GST, or other taxes on your purchases. Where required by law, we may collect and remit taxes on your behalf.

4.4 Failed Payments

For subscriptions, if a scheduled payment fails, we will retry according to Stripe’s standard retry schedule. Access to subscription content may be suspended during any period of failed payment.

6. Annual Subscription Terms

6.1 What’s Included

The Annual Subscription grants you a non-exclusive, non-transferable license to download all Skill files available in the BookSkills library during your active subscription period, including any new Skills added during that period.

6.2 Automatic Renewal

YOUR ANNUAL SUBSCRIPTION WILL AUTOMATICALLY RENEW EACH YEAR AT THE THEN-CURRENT ANNUAL RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

We will charge your payment method on file with Stripe on or around the same date each year. We will send a renewal reminder email to the address on your account at least 7 days before each renewal date.

6.3 How to Cancel

You may cancel your Annual Subscription at any time by:

• Visiting your account page at bookskills.co/account and clicking “Manage Subscription”
• Contacting us at [email protected]

Cancellation takes effect at the end of the current paid billing period. You will not be charged at the next renewal. Cancellation does not entitle you to a refund of any fees already paid.

6.4 Price Changes

We reserve the right to change the Annual Subscription price. If we increase the price, we will provide at least 30 days’ advance notice by email before the change affects your subscription. Continued subscription after the effective date of a price change constitutes acceptance of the new price.

7. License Grant and Permitted Use

7.1 License Grant

Subject to your compliance with these Terms and full payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download purchased Skill file(s) for your personal use and to use them with AI assistants in your own personal or professional workflows.

7.2 Restrictions

This license does not include the right to:

• Copy, distribute, resell, sublicense, or publish any Skill file
• Use a Skill to provide commercial services to third parties (e.g., consulting, resold AI coaching) without our prior written consent
• Transfer or give your license to any Skill file to another person
• Create derivative works from any Skill file for redistribution

7.3 Personal Use Only

Skills are licensed for use by a single individual. You may retain personal backup copies of downloaded Skill files. We recommend maintaining your own backups, as we cannot guarantee indefinite availability of download links.

8. Intellectual Property

8.1 Our Content

The Site, its design, code, text, graphics, logos, and the Skill files we create are owned by or licensed to BookSkills and are protected by US and international copyright, trademark, and other intellectual property laws.

8.2 Book Frameworks

The Skill files incorporate frameworks, methodologies, and concepts from published business books. We create these Skills as transformative, interpretive tools that complement, not substitute for, the original works. All referenced books and authors retain their respective intellectual property rights. We encourage users to purchase and read the original books, links to which are provided on each Skill’s page.

8.3 Trademarks

“BookSkills” and related logos are our trademarks. You may not use our trademarks without our prior written permission.

8.4 Feedback

If you submit suggestions or feedback to us, you grant us a royalty-free, perpetual, irrevocable license to use and incorporate that feedback without any obligation to you.

9. Prohibited Conduct

You agree not to:

• Attempt to gain unauthorized access to any account, system, or network associated with the Site
• Reverse engineer, decompile, or attempt to extract the source code of the Site
• Use automated tools to scrape, crawl, or extract content from the Site
• Resell, redistribute, or commercially exploit Skill files
• Share your account credentials or purchased Skill files with others
• Use the Site for any unlawful purpose or in violation of these Terms
• Circumvent or interfere with security features of the Site
• Impersonate any person or entity or misrepresent your affiliation

10. Disclaimer of Warranties

THE SITE AND ALL SKILL FILES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
• SKILL FILES WILL PRODUCE ANY PARTICULAR OUTCOME OR RESULT IN YOUR PERSONAL OR PROFESSIONAL LIFE
• SKILL FILES WILL BE COMPATIBLE WITH ANY PARTICULAR AI ASSISTANT, PLATFORM, OR FUTURE VERSION THEREOF
• ANY ADVICE, FRAMEWORK, OR METHODOLOGY IN A SKILL FILE IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR CIRCUMSTANCES

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOOKSKILLS, ITS OWNERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR ANY SKILL FILE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) TEN DOLLARS ($10.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BookSkills and its officers, owners, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Skill files in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third-party rights; or (d) your submission of inaccurate information to us.

13. Account Suspension and Termination

13.1 Termination by Us

We may suspend or terminate your account, with or without notice, if we reasonably believe you have:

• Violated these Terms
• Engaged in fraudulent or illegal activity in connection with the Site
• Initiated an unjustified chargeback or payment dispute
• Created multiple accounts to circumvent a suspension

13.2 Effect of Termination

Upon termination for cause, your right to access the Site and download Skills is immediately revoked. No refunds will be issued for any amounts paid prior to termination. Licenses previously granted for downloaded Skill files survive termination, provided the termination was not due to IP infringement or commercial redistribution violations.

13.3 Survival

Sections 7, 8, 10, 11, 12, and 15 survive any termination of these Terms.

14. DMCA / Copyright

We respect intellectual property rights. If you believe any content on the Site infringes your copyright, please send a written notice to [email protected] including: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on the Site; (3) your contact information; (4) a statement of good faith belief; (5) a statement of accuracy under penalty of perjury; and (6) your physical or electronic signature.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

15.3 Class Action Waiver

You agree that any claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class action or representative proceeding.

15.4 Time Limit on Claims

Any claim arising out of these Terms must be filed within one (1) year after the claim arose, or it will be permanently barred.

16. General

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BookSkills regarding the Site and supersede all prior agreements.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• No Waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• No Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
• Force Majeure. We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including internet outages or third-party service failures.
